Terms andconditions.
Please read all these Terms and Conditions carefully. As we can accept your Order and make a legally enforceable agreement without further reference to you, you must read these Terms and Conditions to make sure they contain all that you want and nothing that you are not happy with. If you are not sure about anything, please phone us on +44 7429 398306.
Application
1. These Terms and Conditions apply to the supply of matchmaking and introduction Services by Grounded Connections Ltd, trading as Graft Dating, a company registered in England and Wales under number 16534841, whose registered office is at 124-128 City Road, London, EC1V 2NX, telephone +447429398306 (the “Supplier”, “we”, “us” or “our”), to you (the “Client”, “Customer” or “you”).
2. These are the terms on which we provide all Services to you. Before placing an Order on the Website, you will be asked to agree to these Terms and Conditions by clicking the button marked ‘I Accept’. If you do not click that button, you will not be able to complete your Order. You may only purchase the Services from the Website if you are eligible to enter into a contract and are at least 18 years old.
3. Your Contract with us, and any membership or place in our Network, is personal to you and may not be transferred, assigned or shared with any other person without our prior written consent.
Interpretation
4. “Consumer” means an individual acting for purposes which are wholly or mainly outside their trade, business, craft or profession.
5. “Contract” means the legally-binding agreement between you and us for the supply of the Services.
6. “Durable Medium” means paper or email, or any other medium that allows information to be addressed personally to the recipient, enables the recipient to store the information in a way accessible for future reference for a period long enough for the purposes of the information, and allows unchanged reproduction of the information stored.
7. “Free Pool” means our no-onboarding-fee route into the matching pool, described at clause 26(b) below.
8. “Graft Date” means an in-person introduction arranged by us between the Client and a prospective match.
9. “Network Member” means an individual who has been identified, approached or introduced by one of our matchmakers as a potential match, but who has not (or not yet) purchased our Services.
10. “Order” means the Client’s order for Services from the Supplier, submitted following the step-by-step process on the Website.
11. “Privacy Policy” means the terms setting out how we deal with confidential and personal information received from you via the Website.
12. “Services” means the matchmaking, introduction and related services advertised on the Website, of the description set out in the Order.
13. “Website” means our website www.graftdating.com, on which the Services are advertised.
Services
14. The description of the Services is as set out on the Website, in our onboarding materials, or as otherwise agreed with you in writing. Any description is for illustrative purposes only.
15. It is your responsibility to ensure that any information you provide to us — including as to your identity, preferences and what you are looking for in a match — is accurate and kept up to date. We rely on this information to provide the Services.
16. All Services are subject to availability. We do not guarantee that we will identify or introduce a suitable match within any particular timeframe, or at all. Our obligation is to use reasonable skill, care and effort in seeking and facilitating introductions — not to guarantee a successful match.
17. We can make changes to the Services which are necessary to comply with any applicable law or safety requirement. We will notify you of such changes.
Client Responsibilities
18. You must co-operate with us in all matters relating to the Services, including attending your discovery meeting, providing accurate and complete information, and completing any identity verification we require.
19. Failure to comply with the above is a Client default which entitles us to suspend performance of the Services until you remedy it, or, if you fail to remedy it following our request, to terminate the Contract with immediate effect on written notice to you.
20. It is your responsibility to tell us if your name is distinctive or otherwise likely to make you easily identifiable or searchable online, and to indicate whether you would prefer us to use a nickname or alternative name during the matching process. Where you give no such notice, we will proceed on the basis that your full name may be used as provided. Further detail is set out in our Privacy Policy.
21. You warrant to us that:
- you are single and free to enter into a new relationship;
- you are at least 21 years old;
- you have disclosed to us any relevant unspent criminal convictions; and
- all information you provide to us, including as part of your onboarding or discovery meeting, is true and accurate in all material respects.
Client Conduct and Confidentiality
22. You must treat us, our matchmakers and staff, and anyone we introduce you to, with courtesy and respect. You must not harass, or cause distress, inconvenience or anxiety to, or otherwise violate the privacy of, anyone we introduce you to, and must not do anything which deliberately or recklessly damages our reputation.
23. You must keep confidential the identity and any personal information of any person we introduce you to. You must not disclose such information — including to other Clients, Network Members, on social media, or to any other third party — without the express permission of both us and the person concerned. This obligation continues after your Contract with us has ended.
Personal Information
24. We retain and use all information strictly in accordance with our Privacy Policy.
25. We may contact you by email, other electronic communication, telephone or pre-paid post, and you expressly agree to this.
The Matching Routes and Fees
26. We offer two routes into our matching service:
- Full Match Route: a one-off fee of £100 (the “Onboarding Fee”), which covers (i) identity verification, (ii) your onboarding, including your discovery meeting with a matchmaker, and (iii) your first Graft Date.
- Free Pool Route: a £25 lock-in fee (the “Lock-In Fee”), which covers identity verification and your first Graft Date if and when a match is made. Free Pool Clients are not charged the £100 Onboarding Fee.
27. Identity verification is required for all Clients under both routes — see clause 46 (Personal Safety) for what this does and does not cover.
28. Fees are inclusive of VAT at the rate applicable at the time of your Order, unless stated otherwise.
29. You must pay by submitting your card details with your Order. We may take payment immediately or before delivery of the Services, as stated on the Website at the time of your Order.
30. Any quotation of Fees is valid for the period stated on the Website, unless expressly withdrawn by us at an earlier time.
31. No variation of the Contract, whether as to the description of the Services, Fees or otherwise, can be made after it has been entered into unless agreed in writing between you and us.
32. We intend that these Terms and Conditions apply only to a Contract entered into by you as a Consumer. If this is not the case, you must tell us, so that we can provide you with a different contract with terms appropriate to you.
Basis of Sale
33. The description of the Services on the Website does not constitute a contractual offer to supply the Services. When an Order has been submitted, we can reject it for any reason, although we will try to tell you why without delay.
34. The Order process on the Website allows you to check and amend errors before submitting. It is your responsibility to check that you have used the ordering process correctly.
35. A Contract is formed only when you receive an email from us confirming your Order (the “Order Confirmation”). You must ensure the Order Confirmation is complete and accurate and inform us immediately of any errors.
Timing of the Services
36. Your matching period begins on the later of (i) the date your payment is received, and (ii) the date of your discovery meeting with a matchmaker (the “Search Start Date”). We will use reasonable efforts to identify and arrange your first Graft Date within a reasonable time after the Search Start Date, but we do not guarantee a specific timeframe.
Right to Cancel (Cooling-Off Period)
37. Subject to the clauses below, you have the right to cancel this Contract within 14 days of the Contract being entered into, without giving any reason (your “Cancellation Rights”).
38. To exercise this right, you must inform us of your decision by a clear statement (for example, by letter or email to info@graftdating.com). You can, but do not have to, use the model cancellation form at the end of these Terms.
39. We will not begin supplying the Services (including your onboarding or discovery meeting) before the end of the 14-day cancellation period unless you have made an express request for us to do so. By booking a discovery meeting, or by paying your Onboarding Fee or Lock-In Fee, within the 14-day period, you are making such an express request and acknowledging the consequences set out in clause 40.
40. Where Services are supplied at your express request before the end of the cancellation period and you subsequently cancel, you must pay us an amount in proportion to the Services already supplied. Because identity verification and your discovery meeting represent the substantial majority of the cost and value of our onboarding process, once your Search Start Date has passed your Onboarding Fee or Lock-In Fee (as applicable) becomes non-refundable and no proportionate refund will be made. If you cancel before your Search Start Date, we will refund your Fee in full.
41. This clause does not affect your rights in respect of Services which are faulty or not as described.
Rescheduling and No-Shows
42. If you are unable to attend a scheduled Graft Date, you must give us as much notice as possible.
43. You are entitled to one free reschedule of a Graft Date. If you subsequently fail to attend a second time without providing at least 24 hours’ notice (a “No-Show”), the Fee paid for that match will be forfeited and no further match will be arranged in respect of it. This does not prevent you from paying for a further match on our standard terms.
44. We may apply an equivalent policy where the other party to your introduction is the one who fails to attend, and will take reasonable steps to protect you — for example, by offering you a further introduction.
Personal Safety
45. We act as an introduction service only. While we carry out identity verification on all Clients, we cannot guarantee the conduct, character, intentions or safety of any person we introduce you to, and we are not responsible for what happens between you and a match once an introduction has been made.
46. Our identity verification process is designed to confirm that a Client or Network Member is who they say they are. It is not a criminal record check, DBS check, or other background check, and we do not carry out criminal background checks on Clients or Network Members. You remain responsible for exercising your own judgement and for taking appropriate precautions when meeting anyone we introduce you to.
47. You are responsible for your own safety and judgement when meeting anyone we introduce you to. We strongly recommend that you meet in a public place, tell a friend or family member where you are going, arrange your own transport, and use your own judgement at all times.
48. If you feel unsafe, or believe that you or another person may be at risk of harm, before, during or after a Graft Date, you must contact the emergency services (999, or 112 in an emergency) or another appropriate authority immediately. We are not an emergency service and are not equipped or available to respond to safety incidents in real time; you should not rely on us or your matchmaker to intervene in, or respond to, any such incident. You may still report a safety concern to us afterwards at info@graftdating.com so that we can take appropriate action in relation to our Network (including removing a person from it), but this does not replace or delay you obtaining emergency assistance where it is needed.
49. If you are charged with a criminal offence at any time during your Contract with us, you must tell us as soon as reasonably possible. We may, at our discretion, suspend your membership and pause any search for a match pending the outcome of that matter.
50. We accept no liability for the acts or omissions of any person introduced to you through the Services, save to the extent such liability cannot be excluded by law (see clause 64).
Conformity
51. We have a legal duty to supply the Services in conformity with the Contract. We will supply the Services with reasonable skill and care.
52. It is not a failure to conform if the failure arises from inaccurate or incomplete information you have provided.
53. Anything we say or write to you, or that someone says or writes to you on our behalf, about us or the Services, is a term of the Contract if you take it into account when deciding to enter into it, or when making a decision about the Services afterwards — subject to anything that qualified it at the same time, and any later change expressly agreed between us.
Duration, Termination and Suspension
54. The Contract continues until we have performed the Services, or until terminated in accordance with this clause.
55. Either party may terminate the Contract or suspend the Services at any time by written notice if the other:
- commits a serious breach, or series of breaches amounting to a serious breach, of the Contract which cannot be fixed, or is not fixed within 30 days of written notice; or
- is subject to any step towards bankruptcy or liquidation.
56. On termination for any reason, neither party’s accrued rights or liabilities are affected.
57. We may also suspend, without terminating, your membership or the Services at any time while we investigate a complaint or concern about your conduct, or the conduct of a Client or Network Member connected with your matching, or in the circumstances described in clause 49 above. We will act reasonably, and will tell you when a suspension is lifted.
Successors and Sub-Contractors
58. Either party may transfer the benefit of this Contract to someone else but will remain liable to the other for its obligations. We remain liable for the acts of any sub-contractors we engage to help perform our duties.
Circumstances Beyond Control
59. If either party fails to perform because of something beyond its reasonable control, it will tell the other as soon as reasonably practicable, and its obligations will be suspended so far as reasonable, provided it acts reasonably. Neither party is liable for a failure it could not reasonably avoid.
Privacy
60. Your privacy is critical to us. We respect your privacy and comply with the UK General Data Protection Regulation (“GDPR”) in relation to your personal information.
61. These Terms and Conditions should be read alongside, and in addition to, our Privacy Policy and Cookies Policy.
62. We are a Data Controller of the personal data we process in providing the Services to you and will comply with our obligations under the Data Protection Laws, including identifying the purposes of collection, only processing data for those purposes, respecting your rights, and implementing appropriate technical and organisational security measures.
63. For any enquiries or complaints regarding data privacy, please email info@graftdating.com.
Excluding Liability
64. We do not exclude liability for: (i) any fraudulent act or omission; or (ii) death or personal injury caused by our negligence or breach of our other legal obligations. Subject to this, we are not liable for (i) loss which was not reasonably foreseeable to both parties at the time the Contract was made, or (ii) loss to your business, trade, craft or profession, because we believe you are not buying the Services wholly or mainly for those purposes.
65. Nothing in these Terms and Conditions affects your statutory rights as a Consumer.
General
66. Any notice given under this Contract must be in writing and delivered by hand, by pre-paid post, or by email, to the address or email address notified by the other party for that purpose.
67. This Contract, together with your Order Confirmation, constitutes the entire agreement between you and us in relation to its subject matter, and supersedes all previous discussions, agreements or understandings between us, whether written or oral.
68. Nothing in this Contract is intended to, or shall be deemed to, establish any partnership or joint venture between us, or make either of us the agent of the other, for any purpose.
69. A person who is not a party to this Contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms, but this does not affect any right or remedy of a third party which exists or is available apart from that Act.
Governing Law, Jurisdiction and Complaints
70. The Contract (including any non-contractual matters) is governed by the law of England and Wales.
71. Disputes can be submitted to the courts of England and Wales or, where you live in Scotland or Northern Ireland, the courts of Scotland or Northern Ireland respectively.
72. We try to avoid disputes. If one occurs, please contact us at info@graftdating.com. We aim to respond with an appropriate solution within 5 working days.
Attribution
73. Portions of these Terms and Conditions were created using a document template from Rocket Lawyer (rocketlawyer.com/gb/en) and have been adapted for a services-only matchmaking business, drawing on common industry practice among UK introduction agencies.
